1. Introduction Welcome to ProSport Inc. These "Terms and Conditions" govern your use of our services and your relationship with us as a driver, customer, or carrier. By submitting an application, using our platform, or engaging with our services, you agree to be bound by these terms. If you do not agree with any part of these terms, please do not use our services. 2. Definitions "Company," "we," "us," "our," "ProSport Express," or "ProSport Logistics" refers to ProSport Inc and its affiliates.
"Driver" refers to independent contractors or employees who operate vehicles on behalf of the Company.
"Customer" refers to individuals or businesses who utilize our transportation services.
"Carrier" refers to third-party transportation companies partnering with us.
"Services" refers to all logistics, transportation, and related services provided by the Company. 3. Eligibility To use our services, you must be at least 18 years of age and possess all necessary licenses, certifications, and legal documentation required for your role. Drivers must hold a valid Commercial Driver's License (CDL) and meet all federal and state requirements. By using our services, you represent and warrant that you meet these eligibility requirements. 4. Application and Onboarding All applications are subject to verification and approval. We reserve the right to reject any application at our sole discretion. Drivers must complete our onboarding process, which includes background checks, drug screening, and verification of driving records. False or misleading information provided during the application process may result in immediate termination. 5. Independent Contractor Relationship Drivers working with [Company Name] are independent contractors, not employees. You are responsible for all taxes, insurance, and business expenses related to your work. This agreement does not create an employment relationship, partnership, or joint venture between you and the Company. 6. Driver Responsibilities Drivers must maintain valid licenses and insurance at all times, operate vehicles safely and in compliance with all traffic laws, complete deliveries or transportation services in a timely and professional manner, maintain vehicles in good working condition, and report any accidents, incidents, or vehicle issues immediately. Drivers are prohibited from operating vehicles under the influence of drugs or alcohol, discriminating against or harassing customers or other drivers, and using Company equipment for unauthorized purposes. 7. Payment Terms Payment rates are established by mutual agreement and may vary based on route, distance, and service type. Payments are processed according to our standard payment schedule. Drivers are responsible for tracking their own hours and mileage. Disputed payments must be reported within 30 days of the payment date. 8. Equipment and Vehicles Company-provided equipment must be used solely for authorized business purposes. Drivers are responsible for normal wear and tear but must report any damage immediately. Unauthorized modifications to vehicles or equipment are prohibited. Upon termination, all Company property must be returned in good condition. 9. Safety and Compliance All drivers must comply with Federal Motor Carrier Safety Regulations (FMCSR), Department of Transportation (DOT) requirements, and state and local traffic laws. Drivers must maintain required hours of service logs and submit them as requested. Failure to comply with safety regulations may result in immediate termination. 10. Insurance Drivers must maintain adequate commercial vehicle insurance as required by law. The Company maintains its own insurance policies but drivers may be held liable for damages resulting from negligence or violation of these terms. 11. Confidentiality You agree to keep confidential all proprietary information, customer data, business practices, and trade secrets of the Company. This obligation continues even after your relationship with the Company ends. 12. Termination Either party may terminate this agreement at any time with or without cause. The Company reserves the right to immediately suspend or terminate your access to services for violations of these terms, safety concerns, or fraudulent activity. Upon termination, you must immediately cease using Company branding and return all Company property. 13. Limitation of Liability To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability shall not exceed the amount paid to you in the three months preceding the claim. 14. Indemnification You agree to indemnify and hold harmless the Company from any claims, damages, losses, or expenses arising from your violation of these terms, negligence, or willful misconduct. 15. Dispute Resolution Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits. 16. Modifications We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of the modified terms. 17. Governing Law These terms are governed by the laws of ILLINOIS, without regard to conflict of law provisions. Any legal action must be brought in the courts located in COOK COUNTY, IL. 18. Severability If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. 19. Entire Agreement These Terms and Conditions constitute the entire agreement between you and the Company regarding your use of our services and supersede all prior agreements. 20.
